1. Acceptance of Terms

By engaging Cliency for services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use my services.

2. Services Description

Cliency provides custom Shopify development services, including:

  • Custom Shopify theme development
  • Complex API integrations and custom functionality
  • Performance optimization and technical audits
  • Ongoing support and maintenance retainers

3. Pricing and Payment

3.1 Project Pricing

All projects are quoted individually based on scope, complexity, and requirements. Pricing is provided after an initial discovery call to understand your specific needs.

3.2 Payment Terms

  • A deposit is required to begin work (typically 50%)
  • Remaining balance due upon project completion
  • Retainer arrangements billed monthly in advance
  • Payment methods: Bank transfer, card payment

3.3 Ownership

Upon full payment, you own the custom code developed for your project. You're free to modify, extend, or migrate it as needed.

4. Project Process

4.1 Discovery

Initial consultation to understand your requirements and provide accurate scoping.

4.2 Development

Iterative development with regular updates and direct communication throughout.

4.3 Delivery

Complete handover including deployment, documentation, and training as appropriate.

5. Intellectual Property

Upon full payment, intellectual property rights for custom-developed code transfer to you. I retain the right to use general techniques, methodologies, and non-proprietary knowledge gained during the project.

6. Warranties

I warrant that services will be performed professionally and to industry standards. Custom development includes a bug-fix period following delivery to address any issues with the delivered work.

7. Limitation of Liability

Liability is limited to the amount paid for the specific service giving rise to the claim. I am not liable for indirect, incidental, or consequential damages.

8. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the project. This includes business strategies, technical details, and any sensitive data.

9. Termination

Either party may terminate with written notice. Work completed up to the termination date must be paid for. Any deposits for incomplete work will be handled fairly based on progress made.

10. Governing Law

These terms are governed by the laws of England and Wales.
